Getting profits out of China: the four gates and how money passes them

Ask a room of foreign CFOs their biggest China anxiety and "can I get my money out?" wins by a margin. The honest answer is reassuring but conditional: yes — through defined channels, each with paperwork that must have been done right in the years before you press send. China does not trap lawful profits; it audits the story behind them. This note maps the channels and the discipline each one demands.

Gate one: dividends — slow, clean, and final 股息

A dividend is the channel regulators like best because everything about it has already been checked: the profits exist on audited financial statements, corporate income tax (standard rate 25%) has been paid, prior-year losses are covered, and the statutory surplus reserve — 10% of after-tax profit annually until the reserve reaches half of registered capital — has been set aside. What leaves then bears 10% withholding income tax for a non-resident corporate shareholder.

The 10% is where structure earns its keep. Many Chinese double-tax treaties and the mainland–Hong Kong arrangement cut the dividend rate to 5% for corporate shareholders holding at least 25% — but only if the recipient qualifies as beneficial owner: a holding shell with no substance, staff or independent decision-making fails the test under the tax authorities' announcements, and the bank's remittance goes through at 10% instead. If a Hong Kong or Singapore intermediate holding company is part of your structure (a choice made back at market entry), give it the substance its tax position assumes, and confirm current treaty practice before relying on the reduced rate, subject to current regulations.

Gate two: service fees and royalties — flexible, watched 服务费与特许权使用费

Charging your subsidiary for management services, technical support or licensed trademarks and know-how moves money without waiting for year-end — and reduces the subsidiary's taxable profit, which is exactly why it is the most-examined channel. The working rules: a real contract describing services actually rendered (tax officials ask for deliverables, not just invoices); arm's-length pricing defensible under transfer-pricing documentation requirements; tax treatment per payment type — royalties bear withholding tax (10% standard, treaty-dependent) plus VAT, service fees may create PRC tax exposure if performed onshore; and tax recordal before the bank remits single payments above the current threshold. Intercompany agreements signed years ago and never updated are the classic audit finding; review them annually alongside the CIT reconciliation (see Compliance).

Gate three: giving capital back — reduction and shareholder loans 减资与股东借款

When the subsidiary is overcapitalised — often the legacy of an optimistic registered-capital number — a capital reduction returns funds through a defined procedure: shareholder resolution, notice to creditors, public announcement, then registration and foreign-exchange processing. The 2023 Company Law tightened the creditor-protection mechanics while making the overall procedure more predictable; it remains a months-long project, not a payment run. Lending money to the parent from China, by contrast, is tightly constrained; the practical flow is inbound (shareholder loans within the borrowing-gap or macro-prudential quota) rather than outbound. Treat any adviser proposing casual intercompany "balances" as a risk, not a resource.

The bank counter: where all gates converge 银行审核

Under SAFE's rules banks perform the authenticity review for cross-border payments: expect to produce the contract, invoice, tax recordal form, audit report and board resolution matching the story of the payment. The system rewards consistency — the same numbers in the audit, the tax filing and the remittance application — and punishes improvisation. Companies that maintain a simple repatriation file (constitutional documents, capital-contribution proofs, annual audits, intercompany agreements, tax recordals) find the counter quick; companies that reconstruct the file the week of the payment do not.
